1. Acceptance of Terms

By accessing and using the KadamTech website (kadamtech.com) or engaging our services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and clients.

2. Services

KadamTech provides technology consulting, software development, digital marketing, UI/UX design, AI automation, and cloud services. The scope, timeline, cost, and deliverables of any specific engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties. These Terms govern the general use of our website and the overarching client relationship.

3. Intellectual Property

All website content including text, graphics, logos, images, and software is the property of KadamTech and protected by applicable intellectual property laws. For client projects, intellectual property ownership is explicitly defined in the project agreement. Unless otherwise agreed in writing, upon receipt of full payment, clients receive ownership of custom-developed deliverables, while KadamTech retains ownership of pre-existing frameworks, tools, and methodologies.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This includes, but is not limited to, business strategies, technical architectures, client data, and pricing. Confidentiality obligations survive termination of the engagement for a period of two (2) years.

5. Payment Terms

Payment terms are specified in individual project agreements. Generally, projects require a deposit before work commences, with milestone-based payments thereafter. Invoices are due within 14 days of issuance unless otherwise agreed. Late payments may incur interest charges as specified in the project agreement. KadamTech reserves the right to pause work on overdue accounts.

6. Limitation of Liability

KadamTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services or website. Our total liability for any claims arising from an engagement shall not exceed the total fees paid by the client for that specific engagement in the three months preceding the claim.

7. Warranties & Disclaimers

KadamTech warrants that services will be performed in a professional manner consistent with industry standards. We do not warrant that our website will be uninterrupted or error-free, or that results of using our services will meet all client expectations. Website content is provided "as is" without any warranties of any kind.

8. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed to the termination date. KadamTech will deliver all completed work and assist with a reasonable handover. KadamTech may terminate immediately if the client is in material breach of these terms or the project agreement.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India. We encourage resolution of disputes through good-faith negotiation before pursuing legal action.

10. Changes to Terms

KadamTech reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page. Continued use of our website or services after changes constitutes acceptance of the revised terms. For active client engagements, changes will only apply to new work orders unless otherwise agreed.
